SOX Was Built for Humans: The Impact of AI on Compliance Frameworks

For over two decades, assurance and compliance frameworks have been based on a fundamental assumption: material decisions are made by people. The post-Sarbanes-Oxley Act (SOX) assurance reset was effective because it aligned accountability with human behavior. This assumption influences the design of internal controls, the assignment of accountability, and the delivery of assurance.

The Role of Human Judgment in Controls

Controls are centered around human judgment. Documentation elucidates human reasoning, and escalation mechanisms expect that specific individuals or roles can be identified, questioned, and held accountable when decisions are scrutinized.

However, the advent of Artificial Intelligence (AI) is slowly disrupting this model. Rather than eliminating controls, AI introduces non-human judgment into control environments, with governance design lagging behind.

Shifting the Origin of Decision-Making

The effectiveness of the post-SOX assurance reset stemmed from its assumption that decisions originated from identifiable operators within defined roles. This framework persisted despite various crises because, ultimately, judgment remained a human domain, albeit flawed.

With AI, the origin of decision-making is shifting. As automated systems increasingly influence forecasting, analytics, transaction approvals, and contract interpretation, judgment is no longer the sole responsibility of people. Instead, it becomes embedded in training data, model logic, thresholds, and exception handling.

The Challenges of Integrating AI into Compliance

Much of the current discourse surrounding AI and compliance focuses on extending existing frameworks. Practitioners are exploring methods such as continuous SOX testing, expanded control coverage, and responsible-AI principles to maintain system auditability. While these efforts are significant, they often assume that the assurance model itself remains sound, and that AI can simply be governed within this framework.

However, this premise is increasingly being challenged. The post-SOX frameworks assume that decisions can be documented, escalated, and attributed to a specific operator. AI complicates this landscape because it embeds judgment that is distributed, probabilistic, and often opaque by design.

A Growing Accountability Problem

In many organizations, AI systems are integrated as efficiency tools rather than as governance decisions. The emphasis is on speed, consistency, and scale, with controls evaluated after deployment. Compliance and audit teams are expected to validate outcomes without insight into the underlying judgment embedded in these systems.

This disconnect raises a crucial question: Who owns the decision when no single person is accountable? This tension reflects the limitations of SOX rather than a failure of its principles. SOX-era controls assume human decision-makers and explainable reasoning, while AI introduces a new paradigm of decision-making that is adaptive and difficult to interpret.

The Risks of Stagnant Governance Frameworks

Unless governance frameworks evolve in tandem with AI deployment, organizations risk operating control environments that appear robust but lack transparency in decision-making processes. In such scenarios, compliance and audit functions inherit accountability without the requisite authority, becoming responsible for outcomes shaped by logic they cannot interrogate.

Old Assumptions Meet New Exposures

The risk lies not in automation itself but in permitting judgment to shift into AI models while governance assumptions remain tethered to human decision-making frameworks. Historical assurance resets were triggered by a breakdown of trust when existing frameworks failed to clarify how decisions were made or defended under scrutiny.

While AI has not yet incited a defining crisis, the conditions that challenge accountability, explainability, and ownership are already in place. For leaders in compliance, risk, and audit, the pressing question is whether governance assumptions will be revisited before they face real-world tests.

If assurance frameworks cannot elucidate how decisions are made, they cannot defend those decisions. In moments of doubt, it is explanation—not efficiency—that ultimately matters.
